Referral Scheme Terms & Conditions
1. Introduction
These Terms and Conditions apply to the "Referral Scheme" ("the Programme") offered by DARKSWAN ("the Company").By participating in the Scheme, you ("the Referrer") agree to abide by these Terms and Conditions.
2. Eligibility
2.1 The Scheme is open to individuals aged 18 and over, including both external community members and employees of DARKSWAN.2.2 Employees of other organisations are responsible for ensuring that their participation in this Scheme does not violate any internal policies or create a conflict of interest with their current employment. DARKSWAN shall not be held liable for any breach of contract or conflict of interest that may arise.
3. Referrals
3.1 A referral is defined as the successful introduction of a new business client ("the Client") to DARKSWAN that results in a signed contract for services.3.2 The Referrer must submit the Client’s contact information and relevant details to DARKSWAN prior to the Client’s engagement with the Company. Referrals made after the Client has already been engaged by DARKSWAN will not be eligible for the Scheme.
4. Referral Reward
4.1 The Referrer will receive a referral reward of 10% of the net profit ("the Referral Reward") from the contract with the referred Client.
4.2 The net profit will be calculated after deducting all direct costs, taxes, and any other applicable expenses.
4.3 The Referral Reward will only become payable once:
a) The contract with the referred Client has been signed; and
b) DARKSWAN has received full payment from the Client.
4.4 The Referral Reward will be paid to the Referrer within 30 days of the conditions in clause 4.3 being satisfied.
5. Payment Terms
5.1 The Referral Reward will be paid via bank transfer to the Referrer’s nominated bank account. It is the Referrer’s responsibility to provide accurate payment details.5.2 DARKSWAN will not be responsible for any delays or errors in payment resulting from incorrect or incomplete payment information provided by the Referrer.
6. Confidentiality and Data Protection
6.1 All personal data provided by the Referrer and the referred Client will be processed in accordance with DARKSWAN's Privacy Policy and applicable data protection laws.6.2 The Referrer must maintain the confidentiality of any information received during the course of participating in the Scheme.
7. Conflict of Interest
7.1 Employees of DARKSWAN or any other organisation must disclose any potential conflicts of interest to both their employer and DARKSWAN before participating in the Scheme.7.2 DARKSWAN reserves the right to disqualify any Referrer from the Scheme if a conflict of interest is identified that could compromise the integrity of the Scheme.
8. General Conditions
8.1 DARKSWAN reserves the right to amend or terminate the Scheme at any time without notice. Any amendments will be communicated via the Company’s official communication channels.8.2 Participation in the Scheme does not establish an employment relationship between the Referrer and DARKSWAN.
8.3 These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.
8.4 If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
